Samuel has extensive experience in matters relating to U.S. securities law and the requirements for companies traded publicly in the United States, including IPOs, annual reports, proxy statements, Form D, mergers and acquisitions and corporate governance. He represents clients in token offerings, including security tokens and utility tokens and related matters. He has significant experience in private fund formation, including private equity and venture capital funds, and represents clients in negotiation and preparation of fund documentation and ongoing operation of funds.
Samuel also has significant experience in secured and unsecured credit facilities, and represents clients in venture and other debt financing.
